Commercial Use License for .STL Files

This license is for the use of the files bought from William & Jayne Co.
File Name: "PreservingOrganizer_Commercial.zip"

This Commercial Use License (the "License") is a legally binding agreement between you (the "Licensee") and William & Jayne Co. (the "Licensor") regarding the use of the .STL file(s) (the "File(s)") downloaded or otherwise obtained from the Licensor. By using the File(s), you agree to be bound by the terms and conditions of this License.

1. Grant of License:
The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use the File(s) solely for commercial purposes, specifically for the manufacturing and sale of physical parts or products created from the File(s).

2. Prohibited Uses:
The Licensee may not resell, sublicense, share, distribute, or otherwise make the File(s) available to third parties in their original digital form. The Licensee may not offer the File(s) for download or resale.

3. Commercial Use Only:
The Licensee may use the File(s) exclusively for the purpose of manufacturing and selling physical parts or products derived from the File(s). Any other use, including personal use, is prohibited under this License.

4. Attribution:
While not required, the Licensee is encouraged to provide attribution to the Licensor when displaying or selling products derived from the File(s).

5. Modification and Derivative Works:
The Licensee may modify, adapt, or create derivative works based on the File(s) for the purpose of manufacturing and selling parts or products. However, such modifications must comply with the terms of this License and may not be distributed separately as digital files.

6. Termination:
The Licensor reserves the right to terminate this License at any time if the Licensee breaches any of its terms.

7. Dispute Resolution:
Any disputes arising from this License shall be resolved through negotiation and, if necessary, through legal action in accordance with the laws of Ontario, Canada.

8. Entire Agreement:
This License constitutes the entire agreement between the Licensee and the Licensor and supersedes all prior understandings, agreements, representations, and warranties.

9. Severability:
If any provision of this License is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
